ICC Institute Connect - Digital Platform
Terms and Conditions
Preamble
ICC Institute Connect (“Institute Connect” or “Platform”) is a platform where Institute Members can find information and working documents. They can display their profile in Members directory and communicate with other Members of the Institute. Members of a Task Force, Regional Chapter, or Project Group can also communicate with each other. Institute Connect is led by the International Chamber of Commerce (“ICC”).
ICC hosts, operates and makes available the Platform to any user (“User”, “You”) under the following terms and conditions (“Terms and Conditions”):
Agreement to the Terms and Conditions
Any person who accesses or uses Institute Connect agrees to be bound by these Terms and Conditions. Any person who does not agree to or comply with these Terms and Conditions should not access or use Institute Connect.
Appropriate Use
Any use of Institute Connect by Users that would limit or constrict the availability or quality of the Connect Platform is prohibited. ICC reserves the exclusive right to take any actions required to enforce this principle.
Users acknowledge that ICC is not responsible nor liable for any harm resulting from: (1) use of Institute Connect; (2) downloading information contained on Institute Connect including, but not limited to, downloads of content posted by participants of the forum, private users; (3) unauthorized disclosure of images, information or data that results from the upload, download or storage of content posted by Users; (4) the temporary or permanent inability to access or retrieve information from the Platform, including, without limitation, harm caused by viruses, worms, trojan horses, or any similar contamination or destructive programs.
Disclaimer
Institute Connect is provided “AS IS” and “AS AVAILABLE” with no express or implied warranties of any kind including, but not limited to, any implied warranties of fitness for a particular purpose, merchantability, non-infringement and title. ICC disclaims any and all liability for the acts, omissions and conducts of any third parties in connection with or related to the manner in which Users use the Platform. Users assume total responsibility for their use of the Platform and any linked sites where applicable.
ICC makes every effort to ensure, but does not guarantee, the accuracy or completeness of the publication or any other content of Institute Connect.
Furthermore, ICC is not liable for any damage or corruption caused by viruses (or similar mechanisms such as worms, lock outs, metering or self-destruct mechanisms) on computers or other terminal equipment in connection with visiting, using and/or downloading data of any kind from the Platform. Users are personally responsible for protecting their equipment appropriately from viruses and other risks on the Internet.
ICC reserves the right, at its sole discretion, to monitor and/or remove content from Institute Connect, but disclaims the obligation thereto.
Intellectual Property Rights
ICC reserves all of its intellectual property rights in the Platform. Using the Platform does not give you any ownership in the content or information made available through the Platform. Trademarks and logos used in connection with the Platform are the trademarks of their respective owners. ICC, Global Dialogue on Trade logo, and other ICC trademarks, service marks, graphics, and logos used for Institute Connect are trademarks or registered trademarks of ICC.
Publications
ICC encourages the use of the publications posted on the Platform for a public use, by itself or by private users (“Publications”). You may use such publications free of charge and without requesting any permission, as long as You do not alter them in any way. You may use excerpts of the Publications, as long as You ensure that the nature/integrity of the Publication is preserved and the excerpt is not used out of context or provides incomplete information or otherwise mislead the reader as to the actual nature, scope or content of the Publication. The Publications may not be sold but may be used in the context of commercial activities. You must cite the source of the Publication, as well as ICC and the author of the Publication, if ICC is not the initial author.
Discussion Forums / Members submissions
Institute Connect may provide you the ability to upload certain information, text, or materials, including without limitation, any information, text or materials that you post on the its discussion forums. You may also decide to send us unsolicited ideas, including ideas for new promotions, products, services, applications, technologies or processes, concepts, know-how or other ideas. Both are referred to as Submitted Content.
You may not use Institute Connect to transmit, display, perform or otherwise make available any Submitted Content (i) that is confidential, illegal, obscene, threatening, of a “spamming” nature, defamatory, or invasive of privacy; (ii) so as to violate or infringe any copyrights, trademarks, patents, trade secrets, other intellectual property rights, privacy or publicity rights, communications regulations or statutes, or any other laws, including without limitation laws concerning defamation, harassment, obscenity, or pornography; or (iii) that constitutes political campaigning or commercial solicitation or that contains software viruses or other computer code designed to interfere with the functionality of any computer systems.
You agree that, if a third party claims that any Submitted Content you have published on Institute Connect is unlawful, you will be liable and responsible for it, and bear the burden of establishing that such Submitted Content complies with all applicable laws. ICC do not and cannot review and evaluate all Submitted Content on the discussion forums, and more generally on Institute Connect, and is not responsible to you or any other party with respect to, and do not endorse or make any representation or warranty with respect to, any Submitted Content provided or made available by other users of Institute Connect. ICC has the right to remove Submitted Content from Institute Connect, block access, or take other action with respect to the Submitted Content in its sole discretion.
Grant of license.
By your submission of Submitted Content, you hereby grant ICC (and its successors) an irrevocable, perpetual, non-exclusive, royalty free, sublicensable and fully transferable, worldwide license to use, disclose, reproduce, distribute, promote, prepare derivative works of, publicly perform and publicly display, modify and otherwise exploit such Submitted Content for any purpose, and in any form or media whether now known or hereafter developed, without payment or accounting to You or others. You also grant to other users of the ICC services, including this Website, a non-exclusive license to access, reproduce and use such Submitted Content in connection with their own use of ICC services in compliance with these Terms. In addition, you hereby waive any claims against ICC for any alleged or actual infringement of any rights of privacy or publicity, intellectual property rights, moral rights, or rights of attribution in connection with our use of such Submitted Content as permitted by these Terms.
Links to other Websites
Links on Institute Connect may connect Users to external or third-party websites that are not related to the Platform or under its control. ICC is not responsible for the content of external or third-party websites that may be accessible or displayed through external links on Institute Connect. The presence of these external links does not represent the ICC’s endorsement of the views or content of these third-party websites. Navigating to external websites through links on Institute Connect done at the sole risk of the User, and ICC expressly disclaims any liability for any content that appears on any external site.
Applicable Law and Jurisdiction
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of France. The exclusive place of jurisdiction shall be Paris, France.
